Terms of Use

Thank you for using Kraytis.

These Terms of Use ("Terms") govern your access to and use of Kraytis.ai, including related software, applications, hosted services, dedicated deployments, portals, websites, interfaces, documentation, and associated functionality (collectively, the "Services"). By accessing, installing, using, or continuing to use the Services, you agree to these Terms.

1. Description of Services

Kraytis provides AI-assisted knowledge retrieval, document search, summarization, analytics, reporting, and related functionality. Depending on the deployment model, Services may include:

• document ingestion and indexing;
• search and retrieval across uploaded or connected records;
• AI-assisted summaries, findings, and reports;
• review of structured and unstructured data;
• audit, compliance, operational, research, or knowledge-assistant workflows;
• portal access for shared-service users; and
• dedicated single-client environments hosted separately for enterprise customers.

2. Service Models

Portal Services. The Kraytis portal offering, including portal.kraytis.ai, is a hosted environment through which authorized users may access Kraytis capabilities through a shared platform architecture.

Dedicated Client Deployments. Certain clients may receive Services through a dedicated deployment, including a separately provisioned AWS instance or another isolated environment configured specifically for that client. Such deployments may be subject to additional commercial, security, implementation, or support terms agreed separately in writing.

Where a signed agreement exists between Kraytis and a client organization, that agreement will control to the extent it conflicts with these Terms.

3. Professional Use Disclaimer

Kraytis provides software tools intended to assist users in reviewing, organizing, retrieving, analyzing, and summarizing information. Kraytis does not provide legal advice, audit opinions, tax advice, accounting advice, valuation opinions, compliance certifications, or other regulated professional services.

Users remain solely responsible for:

• reviewing all outputs and findings;
• validating the completeness and accuracy of results;
• applying appropriate professional judgment;
• performing any required audit, legal, accounting, tax, or compliance procedures; and
• making final decisions based on independent human review.

4. User Responsibilities

You are responsible for all content, documents, prompts, questions, records, and other materials submitted to the Services ("Input"), and for your use of any reports, summaries, recommendations, or other results generated by the Services ("Output"). Input and Output are collectively referred to as "Content."

You represent and warrant that:

• you have the legal right and authority to upload, process, and use the Content;
• your use of the Services complies with all applicable laws, regulations, contractual obligations, and confidentiality requirements; and
• you have obtained all required permissions, approvals, and authorizations for the Content and for any processing activities.

5. Acceptable Use

You may not use the Services to:

• violate any law, regulation, or third-party right;
• process or disclose data without proper authorization;
• interfere with, disrupt, or compromise the integrity or security of the Services;
• attempt to reverse engineer, decompile, copy, or reproduce the Services except as expressly permitted by law;
• bypass security controls, rate limits, tenancy restrictions, or protective measures;
• use the Services to build or train competing systems using Kraytis proprietary software, workflows, or outputs in a prohibited manner; or
• misrepresent AI-generated Output as independently verified professional advice.

6. Data Ownership and Use

As between you and Kraytis, you retain ownership of your Input and, to the extent permitted by law, your Output. Kraytis retains all ownership rights in the Services, software, interfaces, models, workflows, documentation, branding, and related intellectual property.

For dedicated client deployments, client data remains within the client-specific environment subject to the applicable deployment design, infrastructure model, and written agreement.

For portal users, Content may be processed within the hosted Kraytis environment in order to provide the Services.

Kraytis may use Content only as reasonably necessary to operate, secure, maintain, support, improve, and provide the Services, comply with applicable law, enforce these Terms, and protect the Services and users. Kraytis will not use client Content for unrelated purposes except as permitted by applicable law or agreed in writing.

7. Confidentiality and Security

Kraytis implements reasonable administrative, technical, and organizational measures designed to protect customer data appropriate to the nature of the Services and deployment model. However, no system can be guaranteed to be completely secure.

Users are responsible for:

• managing user access and credentials;
• maintaining endpoint and account security;
• using appropriate data classification and governance controls; and
• ensuring that use of the Services is appropriate for the sensitivity of the information involved.

8. AI Output and Accuracy Notice

By using the Services, you acknowledge and agree that:

• Output may not always be accurate, complete, or reliable;
• Output should not be treated as the sole source of truth or as a substitute for professional review;
• human review is required before relying on Output for business, financial, audit, legal, medical, or compliance decisions;
• the suitability of Output depends on the quality, completeness, and structure of the underlying data provided; and
• Kraytis is not responsible for decisions made based on unverified Output.

9. Third-Party Services and Components

The Services may include, interact with, or rely on third-party software, infrastructure, models, APIs, cloud providers, open-source components, or integrations. Those third-party items may be governed by their own terms and policies.

Kraytis is not responsible for third-party services except to the extent expressly stated in a written agreement.

10. Intellectual Property

All rights, title, and interest in and to the Services, including all software, code, workflows, designs, trademarks, trade names, documentation, and related materials, remain the exclusive property of Kraytis and its licensors.

Subject to these Terms and any applicable commercial agreement, Kraytis grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.

11. Suspension and Termination

Kraytis may suspend or terminate access to the Services if:

• you breach these Terms;
• your use poses a legal, security, or operational risk;
• payment obligations are not met where applicable;
• continued access would risk harm to Kraytis, other users, or third parties; or
• we are required to do so by law or legal process.

You may stop using the Services at any time, subject to any minimum contract term or order commitment applicable to your account or organization.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KRAYTIS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, TITLE, QUIET ENJOYMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

KRAYTIS DOES NOT WARRANT THAT OUTPUTS WILL BE CORRECT, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PROFESSIONAL, COMMERCIAL, AUDIT, OR REGULATORY USE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KRAYTIS AND ITS AFFILIATES, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.

KRAYTIS’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU OR YOUR ORGANIZATION FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS (US $100), WHICHEVER IS GREATER, UNLESS A DIFFERENT LIMIT IS EXPRESSLY STATED IN A SIGNED AGREEMENT.

14. Indemnity

If you are using the Services on behalf of a business, organization, or institution, you agree to indemnify, defend, and hold harmless Kraytis, its affiliates, officers, personnel, licensors, and service providers from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• your Content;
• your use of the Services;
• your violation of these Terms; or
• your violation of applicable law or third-party rights.

15. Changes to Terms

Kraytis may update these Terms from time to time. Updated Terms will become effective when posted unless a later date is stated. Your continued use of the Services after the effective date of the revised Terms constitutes acceptance of the updated Terms.

16. Governing Terms for Enterprise Clients

If your organization has entered into a signed master services agreement, subscription agreement, order form, statement of work, or other written contract with Kraytis, that agreement will govern to the extent it conflicts with these Terms.
